Bain, Hg, and TA Associates circle Italian software firm Namirial in €900m buyout talks

Italian software company Namirial SpA has drawn significant interest from private equity firms, with Bain Capital, Hg, and TA Associates reportedly preparing non-binding bids for the firm, according to Bloomberg News.

Sources suggest the deal could value Namirial at approximately €900 million ($976 million).

Other potential bidders, including Apax and Cinven, are also evaluating a possible acquisition. Namirial, known for its identity verification software and electronic invoicing solutions, has gained traction in the market, making it an attractive investment for private equity firms looking to expand their digital services portfolios.

The company’s current owner, private equity firm Ambienta, launched a formal sale process last year. Interested buyers are expected to submit initial offers by next week. Due to the confidential nature of the discussions, sources declined to be identified.

If completed, the transaction would mark another major private equity deal in the European software sector, as investors continue targeting high-growth tech-driven businesses.
