Mutares expands Nordic footprint with acquisition of Sweden’s M3 Group

Mutares SE & Co. KGaA has signed an agreement to acquire M3 Group, a Swedish infrastructure and construction services provider, in a deal that strengthens the firm’s presence in the Nordic market and bolsters its Infrastructure & Special Industry segment.

The transaction, involving M3 Schakt AB, M3 Rental AB, and Schaktförmedlingen Sverige AB, will serve as a strategic add-on for GDL Anläggning & Miljö, one of Mutares’ portfolio companies. The acquisition is expected to close in the fourth quarter of 2025, subject to regulatory approval.

Based in Sweden, M3 Group provides transport infrastructure, construction, and machinery rental services for large private-sector projects across subways, roads, and railways. The company employs around 44 people and generated revenues of approximately €35m in 2024.

For GDL Anläggning & Miljö, the deal is expected to unlock synergies and strengthen its operational base across all business areas, supporting Mutares’ broader growth ambitions in the Nordic infrastructure sector.

“This acquisition is a strategic milestone in expanding our presence in the Nordics and strengthening our Infrastructure & Special Industry segment,” said Johannes Laumann, Chief Investment Officer at Mutares. “M3 Group’s expertise and strong market position make it a perfect fit for our portfolio, especially for GDL Anläggning & Miljö.”

Headquartered in Munich and listed on the Frankfurt Stock Exchange, Mutares focuses on acquiring and repositioning companies in special situations with high operational improvement potential. The firm operates offices across Europe, North America, and Asia.
