Advent takes up to 10% stake in Natura as governance overhaul reshapes board

Advent has agreed to acquire a stake of between 8% and 10% in Natura, as the private equity firm strengthens its position in the Brazilian beauty group through a secondary market transaction.

The investment will be executed over a six-month period at an average price of 9.75 reais per share, equivalent to approximately $1.86, reflecting a structured entry into the company’s shareholder base.

As part of the agreement, Advent will gain the right to appoint two members to Natura’s board, increasing its influence over the company’s strategic direction.

The transaction comes alongside a significant governance overhaul at Natura, with founders Luiz Seabra, Guilherme Leal, and Pedro Passos stepping down from the board.

Chairman and former Chief Executive Fabio Barbosa will also leave, as the company restructures its leadership framework.

Under the proposed changes, the departing executives are expected to form an advisory board without decision-making authority, while Alessandro Carlucci is set to assume the role of chairman.

The transaction remains subject to execution in the market over the coming months, as Advent builds its position in Natura.
