Ahold Delhaize to divest 87 stores in Romania after completing €1.3bn Profi takeover

Ahold Delhaize has announced the divestment of 87 stores in Romania, following commitments made to the Romanian Competition Council as part of its acquisition of Profi Rom Food SRL from MidEuropa.

The stores include 82 Profi outlets and five Mega Image locations, which will be transferred to Romanian retailer Annabella. The sale is subject to merger clearance by the Competition Council and is expected to complete in the fourth quarter of 2025.

The divestment comes after Ahold Delhaize completed the €1.3bn acquisition of Profi in January 2025, a deal that significantly expanded its footprint in Romania. 

Profi operates around 1,700 supermarkets and convenience stores across the country and generated net sales of €2.7bn in the twelve months to June 2024. Combined with Ahold Delhaize’s nearly 1,000 Mega Image stores, the acquisition strengthens its presence across both urban and rural markets. Profi is expected to contribute around €3bn in net sales to Ahold Delhaize’s results in 2025.

Frans Muller, President and CEO of Ahold Delhaize, said: “This is a considerable step-up in our presence in the region and reinforces our commitment to providing Romanian customers with a broad and diverse range of products.” Claude Sarrailh, CEO of Ahold Delhaize Europe & Indonesia, added that Profi’s strong local proposition further solidifies the group’s regional position.

Profi CEO Gaetan Pacton described the deal as recognition of the team’s work in building one of Romania’s strongest retail brands, while Mega Image Brand President Mircea Moga highlighted the complementary strengths of the two banners.

Advisors to Ahold Delhaize on the acquisition included BofA Securities and Goldman Sachs as financial advisors, with CMS Cameron McKenna Nabarro Olswang and GNP Guia Naghi & Partners acting as legal counsel.
