Bain Capital acquires Namirial from Ambienta in sustainability-focused SaaS deal

Bain Capital agreed to acquire a majority stake in Namirial from Ambienta, in a strategic move that underscores growing investor appetite for sustainability-driven software businesses.

The deal, expected to close in Q2 2025, will see Namirial’s founder Enrico Giacomelli and CEO Max Pellegrini retain a significant stake in the business.
Founded in 2000, Italy-based Namirial is a global leader in digital transaction management, offering SaaS solutions that help businesses replace paper processes with secure digital workflows. Under Ambienta’s ownership since 2020, the company has expanded across Europe, Latin America, and Southeast Asia, now serving over 3 million users and 150,000 clients in 85+ countries.

Ambienta implemented a transformative growth strategy during its holding period, driving seven acquisitions and significant operational enhancements. The firm’s sustainability focus was central to Namirial’s evolution, with the business delivering strong environmental impact—saving more than 1.2 million cubic metres of water and cutting CO₂ emissions by nearly 50,000 tonnes.

Bain Capital plans to build on Namirial’s momentum, leveraging its expertise in scaling tech companies globally. Giovanni Camera, Partner at Bain Capital, highlighted Namirial’s “relentless innovation and compliance-driven approach” as key drivers of its global potential.
