Gemspring Capital to acquire Goodyear’s polymer chemicals business in strategic carve-out deal

Gemspring Capital Management has signed a definitive agreement to acquire Goodyear’s polymer chemicals business through an affiliated entity.

The transaction includes production facilities in Houston and Beaumont, Texas, as well as an R&D centre in Akron, Ohio. Goodyear will retain its chemical operations in Niagara Falls, New York, and Bayport, Texas.

Goodyear’s polymer chemicals unit, based in Akron, supplies synthetic rubber for a range of industries including tyre manufacturing, packaging, adhesives, and medical products.

The deal, expected to close by the end of 2025 pending regulatory approval, represents a strategic carve-out opportunity for Gemspring. The firm will acquire key production capabilities and a specialised R&D hub as it seeks to expand its presence in the polymer chemicals market.
