TA Associates is in advanced discussions to acquire FD Technologies in a proposed £541.6m ($722.8m) deal that would take the London-listed data and analytics firm private.
The US private equity firm has offered 2,450 pence per share, a 27% premium to FD Technologies’ closing price before the announcement. Following the disclosure, FD’s shares rose nearly 19% to £23 on Wednesday, reflecting strong investor anticipation of a formal offer.
The board of FD Technologies said it intends to recommend the offer to shareholders if a binding proposal is submitted. Under the UK Takeover Code, TA Associates has until 4 June to make a firm offer or walk away.
The potential acquisition marks TA Associates’ continued interest in enterprise software and advanced analytics platforms. FD Technologies operates globally, with a strong focus on time-series data solutions for financial institutions and industrial companies—sectors that are seeing heightened demand for real-time analytics.
The deal aligns with TA’s strategy of investing in high-growth, data-led businesses with recurring revenue models. Neither party has disclosed additional terms beyond the required regulatory filings.
